1. Agreement; Parties; Scope
This Wireless Customer Agreement ("Agreement") is entered into between you ("Subscriber," "Customer," or "you") and Vortex Mobile, a trade name and service mark of EactiveNet, Inc. ("Vortex," "we," "us," or "our"), a Delaware corporation. This Agreement governs your access to and use of all Vortex Mobile products and services, including without limitation: (a) prepaid and subscription wireless voice, messaging, and data services; (b) software-based telephony delivered via Session Initiation Protocol ("SIP") and Voice over Internet Protocol ("VoIP"); (c) visual voicemail and media services; (d) mobile applications, customer portals, APIs, and administrative dashboards; (e) number porting, caller identification, and STIR/SHAKEN attestation services; and (f) any ancillary features described on vortexmobile.com or in plan-specific materials (collectively, the "Service" or "Services").
BY ACTIVATING SERVICE, CREATING AN ACCOUNT, COMPLETING CHECKOUT, OR USING ANY VORTEX MOBILE APPLICATION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT, OUR PRIVACY POLICY, REFUND POLICY, AND COOKIE POLICY, EACH INCORPORATED HEREIN BY REFERENCE.
2. Eligibility; Account Registration
You must be at least eighteen (18) years of age and capable of forming a binding contract to subscribe. You represent that all registration information—including legal name, service address, payment credentials, and porting authorization data—is accurate and current. You are responsible for safeguarding credentials issued through AuthForge identity services and for all activity under your account. Vortex may suspend or terminate accounts containing false, incomplete, or fraudulent information.
3. Service Description; MVNO Architecture
Vortex Mobile operates as a mobile virtual network operator ("MVNO") and interconnected VoIP provider. Voice, SMS, and data sessions may traverse Vortex-controlled software infrastructure (including Kamailio edge proxies, FreeSWITCH media switches, and orchestration APIs) as well as underlying Commercial Mobile Radio Service ("CMRS") facilities operated by facilities-based carriers ("Underlying Carriers"). Service availability, coverage, throughput, and latency depend on device compatibility, geographic location, network congestion, and Underlying Carrier performance.
Plan features—including unlimited talk and text, visual voicemail, HD voice, CNAM lookup, multi-device sync, enterprise routing, and API access—are described on our pricing page and may vary by tier. "Unlimited" services are subject to reasonable use and anti-abuse policies; Vortex may throttle, restrict, or terminate service used for auto-dialing, traffic pumping, toll fraud, or other anomalous patterns.
4. Fees; Billing; Taxes; Autopay
Service is billed in advance on a recurring monthly basis unless otherwise stated. Fees are processed through Stripe, Inc. By subscribing, you authorize recurring charges to your designated payment method. You may manage payment methods, invoices, and subscription settings through the Stripe Customer Portal accessible from your Vortex dashboard. Prices are exclusive of applicable federal, state, local, and municipal taxes, fees, and surcharges (including Universal Service Fund, E911, regulatory recovery, and gross receipts taxes), which will be collected where required by law.
Failed payments may result in immediate suspension of outbound calling, messaging, and data services. Reinstatement requires successful payment of all outstanding balances. Prepaid wallet balances, where applicable, are consumed per-minute or per-message according to published rate decks.
5. Number Porting; Local Number Portability
Port-in and port-out requests are processed subject to FCC Local Number Portability rules and carrier interconnection agreements. You authorize Vortex and its porting partners to act as your agent in submitting port requests. You represent that you are the authorized end user of any number you request to port. Porting timelines vary; service on your prior carrier may cease upon successful port completion. Vortex is not liable for delays caused by losing carriers, incorrect account PINs, or address mismatches.
6. Acceptable Use; Prohibited Conduct
You agree not to use the Service to:
- Violate any applicable law, FCC rule, or state public utility commission regulation;
- Transmit unlawful robocalls, spam SMS, or spoofed caller ID in violation of the TCPA, TRACED Act, or STIR/SHAKEN requirements;
- Probe, scan, or compromise Vortex or Underlying Carrier networks, including SIP credential stuffing;
- Resell or wholesale Service without a written enterprise agreement;
- Circumvent geographic, credit, or suspension controls;
- Interfere with E911 routing or public safety communications.
Vortex employs automated fraud detection, including device fingerprinting and Redis-backed presence controls. Violations may result in immediate suspension, permanent termination, and referral to law enforcement without refund.
7. E911; Emergency Services Limitations
Vortex provides Enhanced 911 ("E911") routing subject to material limitations inherent to VoIP and software telephony:
- E911 may fail during power outages, broadband loss, or loss of SIP registration;
- Your registered service address determines PSAP routing and may not reflect your physical location when traveling;
- Multi-device configurations may register from multiple endpoints; you must ensure a current emergency address is on file;
- You must inform all users at your service location of VoIP 911 limitations.
VORTEX DOES NOT GUARANTEE THAT E911 WILL FUNCTION EQUIVALENTLY TO TRADITIONAL CMRS 911. YOU ASSUME ALL RISK FOR EMERGENCY CALL COMPLETION.
8. Underlying Carrier Disclaimer
VORTEX DISCLAIMS LIABILITY FOR ACTS, OMISSIONS, OUTAGES, CONGESTION, SPECTRUM REFARMING, ROAMING RESTRICTIONS, OR REGULATORY ACTIONS IMPOSED ON UNDERLYING CARRIERS. Your exclusive remedy for verified platform outages attributable solely to Vortex infrastructure is a discretionary service credit as described in our Refund Policy—not a refund of prepaid fees.
9. Intellectual Property; License
Vortex Mobile, associated logos, software, APIs, and documentation are owned by EactiveNet, Inc. or its licensors. We grant you a limited, non-exclusive, non-transferable license to use client applications solely in connection with active Service. Reverse engineering, scraping, or unauthorized API access is prohibited.
10. Privacy; Communications Monitoring
Our collection and use of personal information is described in the Privacy Policy. You consent to transactional SMS and email regarding billing, porting, and service alerts. Vortex may monitor signaling metadata and CDRs for fraud prevention, quality assurance, and regulatory compliance. Contents of communications are not monitored except as required by law or to resolve technical faults.
11. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." VORTEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VORTEX AND EACTIVENET, INC. SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO VORTEX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Class Action Waiver
YOU AND VORTEX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
14. Mandatory Arbitration
Except for qualifying small claims, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitrator's award is final. You may opt out within thirty (30) days of activation by written notice to legal@vortexmobile.com.
15. Modification; Suspension; Termination
Vortex may modify this Agreement with thirty (30) days' notice via email or in-app notification. Material adverse changes entitle you to cancel without penalty before the effective date. We may suspend or terminate Service immediately for non-payment, fraud, or Acceptable Use violations. Upon termination, prepaid balances are forfeited except where prohibited by law.
16. Governing Law; Regulatory Compliance
This Agreement is governed by Delaware law, except where preempted by the Communications Act, FCC rules, or state wireless consumer protection statutes. Nothing herein waives non-waivable consumer rights under applicable state law.
